Version 2.2 | Effective: July 2026
By registering as a creator on Siendr you agree to the terms below. Please read them carefully. These terms constitute a legally binding agreement between you and Siendr. By creating an account you confirm that you are at least 18 years old, or that you have the legal capacity to enter into agreements.
Note: These terms are governed by Dutch law. The Dutch version is the legally binding version.

1. Who are we
Siendr is a marketplace for sports video clips, operated from the Netherlands. Creators upload sports videos and buyers purchase licences to use those clips.

2. Ownership and copyright
You may only upload content that you filmed yourself and for which you hold all required rights. By submitting content you declare that:
- The videos are your own original work, or that you hold all rights necessary to licence them through Siendr.
- You have obtained valid, documented consent from all identifiable persons filmed (portrait rights under Dutch law).
- You have not used copyright-protected music without a valid licence.
- The content does not infringe any intellectual property rights of third parties.
- You did not record the content in violation of location rules, stadium policies or accreditation agreements that restrict filming or distribution.
2.1 Sports broadcast exclusion
Many professional sporting events are subject to exclusive broadcast agreements. Broadcasters hold neighbouring rights (Rome Convention) that protect their signals and recordings. If you film at a professional sporting event, you are solely responsible for ensuring that:
- Your footage does not reproduce a broadcast signal (such as filming a TV screen or live stream).
- Filming was permitted under the admission requirements or press accreditation for that event.
- Uploading and selling the footage does not violate exclusivity arrangements between a sports organisation and a broadcaster.
Siendr does not verify whether individual clips are subject to broadcast restrictions. That responsibility rests entirely with you as the uploading creator.

3. Indemnification
If a third party brings a claim against Siendr based on content uploaded by you (including but not limited to claims relating to portrait rights, intellectual property, broadcast rights, defamation or privacy), you agree to:
- Defend Siendr against that claim at your own expense.
- Indemnify Siendr for any damages, settlements, fines and reasonable legal costs.
- Cooperate fully and promptly with Siendr's response to the claim.
Siendr will notify you of any such claim in a timely manner. Siendr may take over the defence if deemed necessary to protect its interests. Any settlement that creates a direct financial obligation for you requires your written consent.
This indemnification obligation remains in force after termination of your account.

4. Permitted content
Only sports-related video content is permitted on Siendr. The following content is strictly prohibited:
- Explicit sexual content or nudity.
- Content that incites violence, hatred or discrimination.
- Recordings made without the consent of the persons depicted.
- Content that violates applicable law.
- Misleading or fraudulent content, including staged incidents presented as real events.
- Content recorded in violation of location access rules or exclusive broadcast agreements.
- Duplicate uploads or content uploaded to artificially inflate sales or payout figures.
Siendr reserves the right to remove content at any time without prior notice if it violates these rules, if a valid third-party complaint is received, or if Siendr reasonably determines that the content creates legal or reputational risk for the platform.
Clips that have already been purchased prior to removal remain accessible to buyers who have paid for them. Removal does not entitle the uploading creator to compensation for lost future sales.

5. Licence to Siendr
By uploading content you grant Siendr a non-exclusive, worldwide, revenue-sharing licence to:
- Display and sell your clips through the platform.
- Use thumbnails, previews and short excerpts for marketing and promotional purposes.
- Make technical adaptations (such as compression, resizing or conversion) necessary for publication.
- Sub-licence the content to buyers under the standard Siendr buyer licence.
You retain ownership of your content at all times. If you delete content or your account is terminated, the licence for that content ends from that point. Buyers who purchased a clip prior to deletion retain their licence and access.

6. Revenue, payouts and VAT
Siendr applies the following revenue split per sale, calculated on the sale amount AFTER deducting the VAT Siendr charges the buyer:
- 80% to the creator.
- 20% retained by Siendr as a platform fee.
Your earnings accumulate as a balance on Stripe. Once that balance reaches €50 or more, or once a month has passed since your last payout (whichever comes first), you can request a payout to your bank account yourself via the "Pay me out" button on your dashboard. Payouts do not happen automatically in the background; you choose when to request one, as long as you meet the condition above.
Payouts are processed via Stripe Connect. You are responsible for setting up and maintaining a valid Stripe account, providing accurate tax and banking information, and keeping your payout details up to date. Siendr is not liable for failed or delayed payouts caused by incorrect information provided by you, Stripe service interruptions, bank errors or regulatory delays outside Siendr's control.
6.1 Changes to revenue split
Siendr may change the revenue split with a minimum written notice of 30 days to your registered email address. If you do not agree to the new split you may close your account before the change takes effect. Continued use of the platform after that date constitutes acceptance of the new split.
6.2 VAT
- For VAT purposes, Siendr is the legal seller of clips to buyers (a platform offering electronically supplied services is treated as such under EU law), and therefore remits 21% VAT on the full sale price itself, regardless of whether you as a creator have your own VAT number.
- Your share (80%) is calculated on the sale amount after this VAT has been deducted, and this applies the same way to every creator.
- If you have your own VAT number: you charge 21% VAT on your share (the service you provide to Siendr). Siendr pays you that VAT amount on top of your share and issues the invoice on your behalf (self-billing). You report and remit that VAT in your own VAT return. You also remain responsible for your own income tax.
- If you do not have a VAT number (hobby or small business exemption): you do not need to remit VAT on your share yourself, but your own income tax remains your own responsibility.
- You must accurately declare your VAT status at registration and notify Siendr of any changes within 14 days.
6.3 Self-billing
If you provide a valid Dutch VAT number, enter your invoicing address and agree to self-billing in your settings, you authorise Siendr to issue invoices on your behalf for the services you supply to Siendr. The following applies:
- The invoices are issued in your name as the supplier and carry the legally required wording "factuur uitgereikt door afnemer" (invoice issued by the recipient).
- Each invoice receives a unique, sequential invoice number and contains all legally required invoice details.
- You remain responsible at all times for the accuracy of the VAT stated on the invoice and for declaring and remitting it to the tax authorities, even if an invoice were to state an amount that is too high or too low.
- If you disagree with an invoice issued by Siendr, notify Siendr promptly. That invoice then lapses and is corrected in consultation or issued by you.
- This self-billing arrangement applies for as long as your VAT number and agreement are active. You can withdraw your agreement at any time via your settings; invoices already issued remain valid.

7. Refunds and chargebacks
7.1 Buyer refunds
Siendr may issue a refund to a buyer if: the downloaded clip does not match its description, the clip has technical defects, a valid copyright or broadcast rights complaint is confirmed after purchase, or Siendr determines that a refund is necessary to prevent a chargeback.
If Siendr issues a refund that it attributes to a problem with your content, the refunded amount will be deducted from your next payout.
7.2 Chargebacks
If a buyer initiates a chargeback, the disputed amount is placed on hold. If the chargeback is upheld, the amount (plus any Stripe processing fees) will be deducted from your balance or future payouts.
7.3 Payout disputes
If you believe a deduction has been made in error, contact Siendr at louiejaysienders@gmail.com within 30 days of the deduction. Siendr will review and respond within 14 business days.

8. Account approval, suspension and termination
8.1 Approval
Your account is not activated until a Siendr administrator has approved your application. Siendr may reject applications without giving reasons.
8.2 Suspension
Siendr may suspend your account at any time for violation of these terms, receipt of valid third-party complaints, unusual activity patterns or regulatory requirements. During suspension your content is unavailable for sale and payouts may be withheld.
8.3 Termination
Siendr may permanently terminate your account for material or repeated breach of these terms, fraudulent activity, legal orders or a persistently high chargeback rate. Upon termination your content is removed from the platform. Buyers who purchased clips prior to termination retain their licences. Any earned, unpaid balance will be paid out within 60 days, unless subject to an active dispute or fraud investigation.
8.4 Closing your account
You may close your account at any time by contacting louiejaysienders@gmail.com. Your clips will be taken off sale. Existing buyer licences are not affected.

9. Fraud and prohibited conduct
The following is strictly prohibited and will result in immediate account termination:
- Creating multiple accounts to circumvent a suspension or ban.
- Purchasing your own clips, directly or through a third party, to inflate sales figures or payout amounts.
- Providing false information about your identity, VAT status or rights to content.
- Attempting to manipulate Siendr's review or moderation processes.
- Conduct that constitutes fraud under Dutch or applicable EU law.
Siendr reserves the right to reverse payouts and recover funds connected to fraudulent activity.

10. Data processing and GDPR
Siendr processes your personal data (including name, email address, banking details and upload metadata) as data controller under the GDPR and the Dutch GDPR Implementation Act.
Your data is processed for: managing your creator account and processing payouts, complying with tax and financial regulations, and communicating about your account.

11. Liability
Siendr is not liable for indirect loss, loss of income or consequential damages arising from use of the platform. Siendr's total liability to you for any claim is limited to the total amount paid out to you in the 12 months preceding the incident.

12. Governing law and disputes
These terms are governed by Dutch law. Any disputes are submitted to the competent court in Amsterdam, the Netherlands. Both parties agree to attempt to resolve disputes in good faith through direct communication for at least 30 days before initiating formal legal proceedings.

13. Changes
Siendr may amend these terms at any time. For material changes you will receive written notice at least 30 days in advance. Continued use of the platform after that date constitutes acceptance of the amended terms.

14. P2B Regulation (EU 2019/1150)
Under the Platform-to-Business Regulation we inform you of the following:
14.1 Clip ranking
Clips are presented on the platform in order of publication date (newest first) or based on search terms matching the clip's title, description or tags. There are no paid or preferential placements. Siendr may apply internal recommendation logic; the main parameters are search relevance and publication date.
14.2 Access to complaint handling
As a creator you are entitled to fair and transparent treatment in disputes regarding payouts, account suspension or content removal. Contact louiejaysienders@gmail.com. Siendr will review and respond within 14 business days.
14.3 Termination and suspension
Siendr will provide a statement of reasons upon termination or suspension. A notice period of at least 30 days applies to termination, unless the termination results from a serious violation (fraud, illegal content, repeated breach).
14.4 Mediator
If a dispute cannot be resolved through direct communication, both parties may agree to use independent mediation. Siendr will cooperate with a mediation process at a creator's request.

15. DSA: Reporting illegal content
Under the Digital Services Act (EU 2022/2065) you may report illegal content or content that violates these terms by emailing louiejaysienders@gmail.com with the subject"Report illegal content". Include the clip URL, the nature of the violation and any supporting evidence. Siendr reviews reports promptly and notifies all parties involved of the decision.
